Terms of Use

By accessing the Gradient Systems platform (hereinafter "the Platform"), you agree to these terms of use (hereinafter "Terms"). If you do not accept these terms, you must not use the Platform.

1. Purpose of the Platform

The Platform is a trading strategy simulation and backtesting tool. It allows users to test investment strategies on historical data, run Monte Carlo simulations, generate PDF reports and access community features. The Platform does not provide investment advice within the meaning of MiFID II Directive (2014/65/EU).

2. Registration and User Account

Access to the Platform requires creating a user account via Firebase Authentication. The user agrees to provide accurate information and maintain the confidentiality of their credentials. All use of the account is under the sole responsibility of the user.

3. Acceptable Use

The user agrees to use the Platform in a lawful, fair and reasonable manner. It is prohibited to: (a) attempt to access other users' data, accounts, private strategies or workspaces; (b) use the Platform for fraudulent, illegal, misleading or harmful activities; (c) bypass or attempt to bypass authentication, payment, security, rate-limiting, quota or access-control mechanisms; (d) perform scraping, automated extraction, intentional overload, reverse engineering or any unauthorized automated use; (e) share credentials, resell access or use the Platform for the unauthorized benefit of third parties; (f) publish spam or illegal, misleading, defamatory, violent, discriminatory or community-harming content.

4. Intellectual Property

The Platform, its source code, algorithms, design and educational content are the exclusive property of Gradient Systems. Strategies created by the user remain their property. By publishing a strategy in the community, the user grants a non-exclusive viewing license to other Platform users.

5. Limitation of Liability

Gradient Systems shall not be held liable for any financial loss resulting from use of the Platform. Backtest results are simulations on historical data and do not constitute a guarantee of future performance. The Platform is provided "as is" without warranty of any kind, express or implied. KID/DIC-style documents generated by the Platform for IFA/RIA professionals are internal decision-support documents. They do NOT constitute regulated Key Information Documents (KIDs) under PRIIPs Regulation (EU) No 1286/2014 and must not be delivered to retail investors as regulatory documents. The quality and availability of external data (Yahoo Finance via yfinance, Bloomberg/Refinitiv/FactSet for Pro Plans) are subject to their respective provider terms; Gradient Systems disclaims any liability for unavailability, errors, or modifications of these data by their source.

6. Data and Sources

Market data is provided by third-party sources (Yahoo Finance, Morningstar). Gradient Systems does not guarantee the accuracy, completeness or continuous availability of this data. The user acknowledges that historical data may contain errors or gaps.

7. Termination

In case of a serious or repeated breach of these Terms, abuse, fraud, technical or pricing circumvention, misuse of the Platform, risk to service security or infringement of other users' rights, Gradient Systems may immediately suspend account access, remove content, restrict features or terminate the account. Where reasonably possible, Gradient Systems will inform the user of the reason for the measure. Subject to mandatory consumer rights, no compensation or refund will be due for the current subscription period where the suspension or termination results from a breach attributable to the user.

8. Governing Law

These Terms are governed by French law. Any dispute shall be submitted to the competent courts of Paris.
